Terms of Service
Last updated January 16, 2025
Please read these Terms of Service ("Terms") carefully before using the services of Good Shepherd Staffing Inc. ("Company," "we," "us," or "our"). By accessing our website, engaging our services, or paying an invoice, you agree that you have read and consent to the following:
1. Nature of the Relationship
Company is an international freelance staffing platform. The overseas freelancers Company provides to clients are independent contractors, and Company does not, will not, and cannot control a freelancer's day-to-day activities. Company shall not be held liable for the conduct of any freelancer engaged through its platform, or for any damages caused by a freelancer during the performance of services.
2. Billing and Payment
Service is billed weekly and paid up front. Hours do not roll over week to week, and there are no refunds for unused hours. The first billing period may be prorated if service begins mid-week. Invoices are due as agreed with your client success manager.
3. Raises, Bonuses, and Time Off
All raises, bonuses, vacation, and similar arrangements are determined strictly between the freelancer and the client. Company does not participate in or facilitate these arrangements. Our service fee remains the same regardless of any increase in freelancer pay; any additional compensation you wish to provide will be reflected in an adjusted rate (for a raise) or a separate invoice (for a one-time bonus).
4. Ongoing Support and Replacement
Company engages in weekly check-ins with freelancers and clients individually to assess the working relationship and resolve any needs. If a dispute between a freelancer and client cannot be resolved, Company will provide the client with a new freelancer at no additional cost.
5. No Long-Term Contract
Company's service is provided on a week-to-week basis. If a client chooses to cancel, the client must provide Company written notice of intent to cancel, and Company will discontinue service accordingly.
6. Circumvention
Company invests considerable resources to source the freelancers it works with. Any attempt to circumvent Company and contract directly with a freelancer introduced through our platform violates these Terms and will result in a $5,000 fee.
7. Termination
We may terminate or suspend your access immediately, without prior notice, for any reason, including a breach of these Terms. Upon termination, your right to use the Service ceases immediately.
8. Limitation of Liability
To the maximum extent permitted by law, the entire liability of Company and its suppliers, and your exclusive remedy, is limited to the amount you actually paid through the Service, or $100 if you have not purchased anything through the Service. In no event shall Company be liable for any special, incidental, indirect, or consequential damages arising from your use of, or inability to use, the Service.
9. "As Is" Disclaimer
The Service is provided "as is" and "as available," without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Company does not warrant that the Service will be uninterrupted, error-free, or free of harmful components.
10. Governing Law and Disputes
These Terms are governed by the laws of the State of Wyoming, excluding its conflict-of-law rules. Any dispute regarding the Service or these Terms shall first be addressed informally by contacting Company, and if unresolved, shall be settled by binding arbitration in the State of Wyoming with a mutually agreed-upon arbiter.
11. Severability and Waiver
If any provision of these Terms is held unenforceable, that provision will be interpreted to accomplish its objectives to the greatest extent possible under applicable law, and the remaining provisions will remain in full force and effect. The failure to enforce any right or provision will not be considered a waiver of that right.
12. Changes to These Terms
We may modify these Terms at any time. If a revision is material, we will make reasonable efforts to provide at least 30 days' notice before the new terms take effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
